Contract for proofreading services

These terms and conditions apply to you, an individual who is not acting as a commercial entity, for the services of Proofreading on the www.moonproofreader.com website. Please read these terms and conditions carefully so that you and I have a clear and honest understanding before we proceed to work together. You and I agree that these Terms and Conditions, Privacy Policy and services agreed upon (in writing), constitute the whole agreement between the Proofreader (me) and the Client (you). Feel free to get in touch if you have any questions or concerns so that I can provide clarity and reassurance.
1. Independent contractor:
The Client is hiring me as an independent contractor. The following statements accurately reflect our relationship:
1.1 These terms and conditions apply to any work done on behalf of the Client (you) by the Proofreader (Hassan Sekafi, Fiction Proofreader).
1.2 I will use my own equipment, tools and materials to do the work.
1.3 I am responsible for determining when, where and how I will carry out the work.
1.4 I will provide proofreading services agreed upon (in writing) by myself and the Client.
1.5 The Client is under no obligation to offer me work; neither am I under any obligation to accept work offered by the Client.
1.6 The work will be carried out by me. I will not subcontract proofreading projects, or parts of projects, to third parties.
1.7 I am responsible for my own taxes and National Insurance contributions. I confirm that I am self-employed. I am not VAT-registered.
1.8 I am not entitled to the Client’s benefits (e.g. group insurance, retirement benefits, retirement plans, vacation days).
1.9 The contract for service requires that the Client acknowledges, in writing (including email via the booking-confirmation form), that they have read, understood and agreed to these terms and conditions.
2. Project and payment
2.1 The Client and I will agree, in writing (including email), the terms of the project prior to the proofreading work:
following my evaluation of a representative sample of the materials to be proofread supplied by the Client, I will issue a fee for the project, based on a quotation, in writing (including email)
what’s included in the chosen service
the medium in which the proofreading service will be carried out (e.g. in Microsoft Word, on PDF)
how the material will be annotated (e.g. Track Changes in Word, markup on PDF)
2.2 Schedule:
the time frame required to complete the project, advised by me
the date the material will be delivered by the Client to me
the scheduled date the completed project will be returned, following my advice to the Client
2.3 Expenses:
pre-approved expenses (e.g. postage) that the Client will bear in addition to the costs of the proofreading service
2.4 Please note that if, on receipt of the project to be worked on (or at an early stage), it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief or from the sample supplied, I may renegotiate the fee and/or the deadline, or decline to carry out the work.
2.5 Following my evaluation of a representative sample of the materials to be worked on, and a discussion with the Client as to what is required, a quotation for the work will be provided by me to the Client.
2.6 Once the Client and I have agreed the full fee, it is non-negotiable unless the Client extends the word count of the job or requests additional services. In this case, a revised quotation and job-completion date will be negotiated.
2.7 The Project is calculated on a per-word basis. The Client will pay me a fee per word for the project, as agreed in writing.
2.8 Invoices:
I will invoice the Client immediately at the end of the proofreading project, unless otherwise agreed.
The Client agrees to pay the amount owed within 15 days of receiving the invoice for full edits, and within 3 days for booking fees.
I am a signatory to the Prompt Payment Code (PPC).
2.9 The fee quoted is for one pass of a manuscript, unless otherwise agreed. Additional passes are new projects, the terms of which will be agreed separately.
3. Booking-confirmation form
3.1 The booking-confirmation form is an agreement to the contract for services between the Proofreader (me) and the Client (you).
4. Booking fee
4.1 I will issue the invoice for the booking fee once the Client has sent the booking-confirmation form, which is located at the bottom of this page.
4.2 Please note, booking fees are non-refundable.
4.3 The booking fee will be deducted from the final invoice on completion of the editing work.
4.4 Once the booking fee has been paid by the Client and received by me, the booking is considered confirmed.
4.5 To secure a position in my schedule, the booking fee should be paid within 3 days of sending the booking-confirmation form.
4.6 For a project with a total fee in excess of £500, the Client will pay a booking fee of £500.
4.7 For a project with a total fee of £500 or less, the Client will pay the full fee up front. This is non-refundable.
4.8 By completing the booking-confirmation form, the Client agrees to secure my proofreading services for a specific and mutually agreed project and time.
4.9 By completing the booking-confirmation form, the Client confirms that they have read and agreed to the terms and conditions herein. From thereon, the term and termination apply: see section 5.
5. Term and termination
Terms:
5.1 Either the Client and I have the right to end a contract for services at any time if there is a serious breach of its terms.
5.2 If either Client or I inform the recipient that the sender is ending a contract and that the contract will end in 7 days. The contract officially ends once that time has passed.
5.3 The Client is free to end a service before it automatically ends for any reason by providing me with written notice (including email). For this to be valid, I must acknowledge this cancellation in writing (including email).
5.4 I may end a service at any time before it automatically ends for any reason by providing written notice (including email) to the Client. In the unlikely event that I end a service, I will provide a prorated refund (partial refund) of any overages of fees paid (including the booking fee).
5.5 I will be understanding and aim to be just in the unlikely event the Client experiences extraordinary or difficult circumstances that cause cancellation or delay (e.g. illness, bereavement, family crisis). The Client should get in touch with me to discuss the terms of termination.
5.6 The booking fee will be refunded if I experience extraordinary or difficult circumstances that cause cancellation (e.g. illness, bereavement, family crisis). I will get in touch with the Client in writing at the earliest opportunity and do my best to renegotiate the time frame of the project or find an alternative supplier of proofreading services.
Fees:
5.7 CANCELLATION DURING THE PROJECT: If the Client cancels the work during the proofreading project, I reserve the right to invoice for 100% of the agreed fee (excluding the booking fee).
5.8 CANCELLATION PRIOR TO PROJECT COMMENCEMENT:
If the Client wishes to cancel with less than one month’s notice, I reserve the right to invoice for 100% of the agreed fee (less the booking fee).
If the Client wishes to cancel with more than one month’s notice, the booking fee will not be refunded but no other charge will apply.
Project reminders:
5.9 I will contact the Client two weeks before the mutually agreed start date with a reminder that the manuscript file is due 24 hours before said start date.
If in the unlikely event that the Client does not confirm in writing (including email) within one week prior to the mutually agreed start date that they will be supplying the manuscript file for editing, the project is deemed to have been cancelled by the Client and the position in my schedule will be released.
If, as is likely, the Client confirms the project, I will ask for the manuscript file to be sent to me 24 hours before the start date.
6. Confidential information and data protection
Moral rights:
6.1 I waive any moral rights in the work product to which it is now or may at any future time be entitled under Chapter IV of the Copyright Designs and Patents Act 1988. This means that I give up its right to be acknowledged as the author of the work product and also the right to object to the way the Client uses that work product.
6.2 The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.
6.3 I will not, under any circumstances, upload the Client’s files to external websites or distribute them to third parties unless specifically authorized to do so, in writing, by the Client. I do, however, use Google Drive as a cloud storage system. For more information, please visit my Privacy Notice for how your personal information is protected.
Data protection
6.4 I promise that I will not share confidential information with a third party, unless the Client gives written permission first. I must continue to follow these obligations, even after the contract ends.
6.5 Each party shall comply with its relevant obligations under the Data Protection Act 1998 and associated codes of practice when processing personal data in connection with this contract. The Client and I may keep on record such information (e.g. contact lists and any other private information) as is necessary. Either may view the other’s records to ensure that they are relevant, correct and up to date.
7. Copyright
7.1 Client owns all work product. As part of this job, I am creating ‘work product’ for the Client. To avoid confusion, work product is the finished product and anything else that I have worked on.
7.2 Following payment of my invoice, any work product (content) created by me as part of the proofreading process will become the copyright of the Client unless otherwise agreed.
7.3 All content delivered to me by the Client for the proofreading project is owned by the Client.
7.4 In this respect, the Client agrees to hold me harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them.
8. Credit for the work product
8.1 The Client is not required to give credit to me each time they publish their work.
8.2 In this respect, the client is not required to mention me in the published work’s acknowledgements section. However, the Client agrees that I will have the opportunity to review any such mention prior to publication, or to decline to be mentioned.
9. Quality assurance
9.1 Will I make your text perfect? Please read CIEP’s What is proofreading? It explains what to expect from a proofreader and what’s possible, especially if no professional editorial revisions has touched your manuscript. Excellent work depends not only on the skill of the proofreader but on the budget and schedule being adequate for the job.
10. Governing law and jurisdiction
10.1 This agreement is subject to the laws of England and Wales that govern the rights and obligations of the Client and me. Both the Client and I agree to submit to the courts of England and Wales and shall have exclusive jurisdiction in determining any dispute.
10.2 Any arbitration or court proceeding based on or arising out of this Agreement shall take place in London, England.

11.1 Please read my Privacy Notice carefully to understand my views and practices regarding your personal information, and my compliance with the General Data Protection Regulation (GDPR).

The Client and I may keep on record such information (e.g. contact lists and any other private information) as is necessary. Either may view the other’s records to ensure that they are relevant, correct and up to date.
7. Copyright
7.1 Client owns all work product. As part of this job, I am creating ‘work product’ for the Client. To avoid confusion, work product is the finished product and anything else that I have worked on.
7.2 Following payment of my invoice, any work product (content) created by me as part of the proofreading process will become the copyright of the Client unless otherwise agreed.
7.3 All content delivered to me by the Client for the proofreading project is owned by the Client.
7.4 In this respect, the Client agrees to hold me harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against them.
8. Credit for the work product
8.1 The Client is not required to give credit to me each time they publish their work.
8.2 In this respect, the client is not required to mention me in the published work’s acknowledgements section. However, the Client agrees that I will have the opportunity to review any such mention prior to publication, or to decline to be mentioned.
9. Quality assurance
9.1 Will I make your text perfect? Please read CIEP’s What is proofreading? It explains what to expect from a proofreader and what’s possible, especially if no professional editorial revisions has touched your manuscript. Excellent work depends not only on the skill of the proofreader but on the budget and schedule being adequate for the job.
10. Governing law and jurisdiction
10.1 This agreement is subject to the laws of England and Wales that govern the rights and obligations of the Client and me. Both the Client and I agree to submit to the courts of England and Wales and shall have exclusive jurisdiction in determining any dispute.
10.2 Any arbitration or court proceeding based on or arising out of this Agreement shall take place in London, England.

Contract for proofreading services

These terms and conditions apply to you, an individual who is not acting as a commercial entity, for the services of Proofreading on the www.moonproofreader.com website. Please read these terms and conditions carefully so that you and I have a clear and honest understanding before we proceed to work together. You and I agree that these Terms and Conditions, Privacy Policy and services agreed upon (in writing), constitute the whole agreement between the Proofreader (me) and the Client (you). Feel free to get in touch if you have any questions or concerns so that I can provide clarity and reassurance.
1. Independent contractor:
The Client is hiring me as an independent contractor. The following statements accurately reflect our relationship:
1.1 These terms and conditions apply to any work done on behalf of the Client (you) by the Proofreader (Hassan Sekafi, Fiction Proofreader).
1.2 I will use my own equipment, tools and materials to do the work.
1.3 I am responsible for determining when, where and how I will carry out the work.
1.4 I will provide proofreading services agreed upon (in writing) by myself and the Client.
1.5 The Client is under no obligation to offer me work; neither am I under any obligation to accept work offered by the Client.
1.6 The work will be carried out by me. I will not subcontract proofreading projects, or parts of projects, to third parties.
1.7 I am responsible for my own taxes and National Insurance contributions. I confirm that I am self-employed. I am not VAT-registered.
1.8 I am not entitled to the Client’s benefits (e.g. group insurance, retirement benefits, retirement plans, vacation days).
1.9 The contract for service requires that the Client acknowledges, in writing (including email via the booking-confirmation form), that they have read, understood and agreed to these terms and conditions.
2. Project and payment
2.1 The Client and I will agree, in writing (including email), the terms of the project prior to the proofreading work:
following my evaluation of a representative sample of the materials to be proofread supplied by the Client, I will issue a fee for the project, based on a quotation, in writing (including email)
what’s included in the chosen service
the medium in which the proofreading service will be carried out (e.g. in Microsoft Word, on PDF)
how the material will be annotated (e.g. Track Changes in Word, markup on PDF)
2.2 Schedule:
the time frame required to complete the project, advised by me
the date the material will be delivered by the Client to me
the scheduled date the completed project will be returned, following my advice to the Client
2.3 Expenses:
pre-approved expenses (e.g. postage) that the Client will bear in addition to the costs of the proofreading service
2.4 Please note that if, on receipt of the project to be worked on (or at an early stage), it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief or from the sample supplied, I may renegotiate the fee and/or the deadline, or decline to carry out the work.
2.5 Following my evaluation of a representative sample of the materials to be worked on, and a discussion with the Client as to what is required, a quotation for the work will be provided by me to the Client.
2.6 Once the Client and I have agreed the full fee, it is non-negotiable unless the Client extends the word count of the job or requests additional services. In this case, a revised quotation and job-completion date will be negotiated.
2.7 The Project is calculated on a per-word basis. The Client will pay me a fee per word for the project, as agreed in writing.
2.8 Invoices:
I will invoice the Client immediately at the end of the proofreading project, unless otherwise agreed.
The Client agrees to pay the amount owed within 15 days of receiving the invoice for full edits, and within 3 days for booking fees.
I am a signatory to the Prompt Payment Code (PPC).
2.9 The fee quoted is for one pass of a manuscript, unless otherwise agreed. Additional passes are new projects, the terms of which will be agreed separately.
3. Booking-confirmation form
3.1 The booking-confirmation form is an agreement to the contract for services between the Proofreader (me) and the Client (you).
4. Booking fee
4.1 I will issue the invoice for the booking fee once the Client has sent the booking-confirmation form, which is located at the bottom of this page.
4.2 Please note, booking fees are non-refundable.
4.3 The booking fee will be deducted from the final invoice on completion of the editing work.
4.4 Once the booking fee has been paid by the Client and received by me, the booking is considered confirmed.
4.5 To secure a position in my schedule, the booking fee should be paid within 3 days of sending the booking-confirmation form.
4.6 For a project with a total fee in excess of £500, the Client will pay a booking fee of £500.
4.7 For a project with a total fee of £500 or less, the Client will pay the full fee up front. This is non-refundable.
4.8 By completing the booking-confirmation form, the Client agrees to secure my proofreading services for a specific and mutually agreed project and time.
4.9 By completing the booking-confirmation form, the Client confirms that they have read and agreed to the terms and conditions herein. From thereon, the term and termination apply: see section 5.
5. Term and termination
Terms:
5.1 Either the Client and I have the right to end a contract for services at any time if there is a serious breach of its terms.
5.2 If either Client or I inform the recipient that the sender is ending a contract and that the contract will end in 7 days. The contract officially ends once that time has passed.
5.3 The Client is free to end a service before it automatically ends for any reason by providing me with written notice (including email). For this to be valid, I must acknowledge this cancellation in writing (including email).
5.4 I may end a service at any time before it automatically ends for any reason by providing written notice (including email) to the Client. In the unlikely event that I end a service, I will provide a prorated refund (partial refund) of any overages of fees paid (including the booking fee).
5.5 I will be understanding and aim to be just in the unlikely event the Client experiences extraordinary or difficult circumstances that cause cancellation or delay (e.g. illness, bereavement, family crisis). The Client should get in touch with me to discuss the terms of termination.
5.6 The booking fee will be refunded if I experience extraordinary or difficult circumstances that cause cancellation (e.g. illness, bereavement, family crisis). I will get in touch with the Client in writing at the earliest opportunity and do my best to renegotiate the time frame of the project or find an alternative supplier of proofreading services.
Fees:
5.7 CANCELLATION DURING THE PROJECT: If the Client cancels the work during the proofreading project, I reserve the right to invoice for 100% of the agreed fee (excluding the booking fee).
5.8 CANCELLATION PRIOR TO PROJECT COMMENCEMENT:
If the Client wishes to cancel with less than one month’s notice, I reserve the right to invoice for 100% of the agreed fee (less the booking fee).
If the Client wishes to cancel with more than one month’s notice, the booking fee will not be refunded but no other charge will apply.
Project reminders:
5.9 I will contact the Client two weeks before the mutually agreed start date with a reminder that the manuscript file is due 24 hours before said start date.
If in the unlikely event that the Client does not confirm in writing (including email) within one week prior to the mutually agreed start date that they will be supplying the manuscript file for editing, the project is deemed to have been cancelled by the Client and the position in my schedule will be released.
If, as is likely, the Client confirms the project, I will ask for the manuscript file to be sent to me 24 hours before the start date.
6. Confidential information and data protection
Moral rights:
6.1 I waive any moral rights in the work product to which it is now or may at any future time be entitled under Chapter IV of the Copyright Designs and Patents Act 1988. This means that I give up its right to be acknowledged as the author of the work product and also the right to object to the way the Client uses that work product.
